Vehicle Sales & Purchase Agreement
This Vehicle Sales & Purchase Agreement (this “Agreement”) is made between the Seller and the Buyer identified below in respect of the sale of the vehicle described. 360CarMart Pte Ltd facilitates this transaction.

1. Sale & purchase
The Seller agrees to sell and the Buyer agrees to buy the Vehicle at the sale price and on the terms set out below.
2. Price & payment
The Buyer pays the deposit on signing and the balance on or before handover by the agreed mode. The deposit forms part of the purchase price.
3. Condition & inspection
The Buyer has inspected the Vehicle (or waived inspection) and accepts it on an “as-is” basis save for the Seller's warranties below and any written warranty provided. Any independent inspection report is informational.
4. Transfer of ownership
The parties will effect transfer of ownership with LTA promptly after full payment. Transfer fees, road tax, and insurance from handover are borne by the Buyer unless otherwise agreed.
5. Encumbrances
The Seller warrants the Vehicle is free of any loan, lien, or encumbrance at transfer, or that any such amount will be discharged from the sale proceeds.
6. Risk & warranties
- The Seller has good title and the right to sell.
- Risk passes to the Buyer on handover; the Buyer must insure from that time.
- Mileage and material history disclosed are, to the Seller's knowledge, accurate.
7. Default
If the Buyer fails to pay the balance by the handover date, the Seller may treat the Agreement as terminated and forfeit the deposit as agreed liquidated damages. If the Seller fails to deliver, the deposit is refunded.
8. Governing law
This Agreement is governed by the laws of Singapore.
